The Bylaws explain the organizational structure and the operation of the Corporation. SkillsUSA Massachusetts, Incorporated | By-Laws ARTICLE I Name Section 1: The name of the Corporation shall be SkillsUSA- Massachusetts, Incorporated. ARTICLE II Purposes General Statement of Purpose: This organization is created specifically for students enrolled in trade, industrial, technical, and health occu- pations education programs, otherwise know as career- vocational, technical education (CVTE or CTE), in the Commonwealth ofMassachusetts. This organization’s activities and programs complement the student’s skills training through chapter activities, which are an integral part of the instructional program. These chapter activi- ties foster the development of framework skills including personal skills, workplace skills and technical skills as well as the development of high standards of trade ethics, workmanship, scholarship, and safety. Section 1: In furtherance of the educational purposes of the Corporation set forth in the Certificate of Incorporation, the Board of Directors shall formulate policies and proce- dures for the issuance of charter(s) by the state association to the Chapters formed under the direction of the officials designated by the schools responsible for the administra- tion of career and technical education or for supervision of the administration of career and technical education in the school as per State law. Hereafter known as School Chap- ters or Chapters. Section 2: The Board of Directors shall establish policies and procedures for the establishment of a state association of a national student organization, composed of the chartered state Chapters to be known as SkillsUSA Massachusetts. ARTICLE III Corporate Membership Section 1: A maximum of one Chapter may be formed in each 9-12 school that offers Chapter 74 and or Perkins eligible programs--and a maximum of one Chapter may be formed in each college/postsecondary institution that offers Chapter 74 and or Perkins eligible programs or one combined for secondary and college/postsecondary students--providing policies and procedures established by the Board of Direc- tors are followed. Charters shall be approved by the Board of Directors. Section 2: The members of the Corporation shall be the persons designated in the Chartered Chapters, as Chapter Advisors who are responsible, by school policy, are encour- aged to organize SkillsUSA as integral to the curriculum. These persons shall serve, irrespective of their title, where secondary and/or college/postsecondary Chapters have been chartered by the Corporation.--If the Chapter is chartered to serve high school student members, Chapter Advisors may be appointed, at the school’s discretion, and a maximum of two corporate votes may be cast for the chapter by the corporate member(s), as assigned at the school’s discretion. The same applies to college/postsecondary Chapters.--If the Chapter is chartered to serve both high school student members and college/postsecondary a maximum of four corporate votes may be cast for the chapter by the corporate member(s), as assigned at the school’s discretion. Section 3: Application for Corporation membership shall be made in writing to the Executive Director of SkillsUSA Massachusetts, Inc. Section 4: No persons, except members of the Corporation in good standing, shall be entitled to vote at any annual or special meeting of the members, with the exception of the President as described in Article IV, Section 5. ARTICLE IV Annual Meeting of Corporate Members Section 1: The annual meeting of the members of the Corpo- ration shall be held at such time and place, as the Board of Directors and the Executive Director shall designate. The Executive Director shall provide the members no less than 10 business days’ written notice of the annual meeting. Section 2: At all meetings of the members, presence in person or by proxy of at least one-third of the members entitled to vote shall be necessary to constitute a quorum for the trans- action of business. The affirmative vote of a majority of those present or represented by proxy at any meeting at which a quorum is present shall be necessary to carry any question. Section 3: A member in good standing may vote in person or by proxy executed in writing. Section 4: Special meetings of the members shall be held at such time and place, as the Board of Directors or the Execu- tive Director shall designate. At least ten days notice shall be given to the members of all special meetings. Section 5: The President has one vote for the purpose of breaking ties on issues or elections regardless of the Presi- dent’s corporate membership. ARTICLE V Board of Directors Section 1: The direction and management of the affairs, funds, and properties of the Corporation shall be vested in the Board of Directors who shall pursue such policies and
